 The OBN Leadership Team approved from its July 16, 2026 the adoption of this section, "Board of Trustees" to be included in the proposed C & BL.

C&BL - Board of Directors and their responsibilities

2.14 Board of Directors

2.14.1 Responsibilities

• Represent the corporate body of O‘ahu Baptist Network in its civil relationships to others and various governmental bodies.

• With proper approval by OBN, any three of the directors shall have the power to buy, sell, mortgage, lease or transfer church real property.

This board has no additional responsibilities or authorization unless directed by OBN.

The board members shall not be held personally responsible for any debts or obligations of OBN. OBN shall indemnify the directors for any personal liability resulting from the good faith discharge of their duties as directors. OBN may also obtain for directors and officers liability insurance in order to protect them from any economic loss incurred due to legal action taken against them as a result of their actions on behalf of OBN in their capacity as directors and officers.

2.14.2 Composition and Selection

The Leadership Team will serve as this board.

2.14.3 Officers

President – The Leadership Team member who is also the moderator.

Vice President – The Leadership Team member who is also the vice moderator.

Secretary ‐ The Leadership Team member who is also the clerk.

Treasurer ‐ The Leadership Team member who is also the treasurer.

If there are vacancies in any of the Leadership Team offices, any Leadership Team member may be elected to serve as an officer until the vacancy is filled.

2.14.4 Frequency of Meetings

As needed but no less often than required by law.
